Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Subscriber," "you," or "your") and Everseed Ventures ("Company," "we," "us," or "our"), governing your access to and use of the hausCRM platform at www.hauscrm.com and any related services (collectively, the "Service"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

Eligibility

The Service is intended for licensed real estate professionals, brokerages, and their authorized representatives who are at least 18 years of age. By using the Service, you represent that you meet these requirements and have the authority to bind yourself (or your organization) to these Terms.

Account Registration and Security

  • You must provide accurate, complete, and current information when creating an account. You are responsible for maintaining the confidentiality of your account credentials.
  • You are responsible for all activity that occurs under your account. You must notify us immediately of any unauthorized use of your account.
  • We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used fraudulently.

Description of Service

  • hausCRM is a voice-first customer relationship management platform for real estate professionals. The Service includes voice recording, AI-powered transcription, client profile generation, property matching, personalized property page creation, and related features.
  • The Service may include features currently in beta or early access. Beta features are provided "as-is" and may be modified, suspended, or discontinued at any time without liability.

Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to provide advance notice of planned downtime.

Acceptable Use

  • You agree to use the Service only for lawful purposes and in compliance with all applicable federal, provincial, state, and local laws and regulations, including real estate licensing laws and data protection regulations.
  • You are solely responsible for obtaining appropriate consents from your clients before recording conversations, entering their data into the Service, or sharing AI-generated content with them. You must comply with all applicable call recording, wiretapping, and consent laws in your jurisdiction.
  • You shall not: (a) use the Service to store or process data in violation of any applicable law; (b) attempt to reverse-engineer, decompile, or disassemble the Service; (c) interfere with or disrupt the Service or its infrastructure; (d) share your account credentials with unauthorized parties; (e) use the Service to send unsolicited communications; or (f) upload malicious code or content.

AI-Generated Content

The Service uses artificial intelligence to generate content, including but not limited to client profiles, property descriptions, match scores, and recommendations. You acknowledge and agree that:

  • AI-generated content may contain errors, inaccuracies, hallucinations, or omissions. We do not guarantee the accuracy, completeness, correctness, or reliability of any AI-generated output.
  • You are solely responsible for reviewing, verifying, and validating all AI-generated content before using it in any professional capacity, sharing it with clients, or relying on it for business decisions.
  • AI-generated content does not constitute real estate advice, property appraisals, legal advice, financial advice, or professional recommendations of any kind.
  • We may use one or more third-party AI providers to deliver AI features. The specific providers, models, and technologies used may change at any time without notice. Different data may be routed to different AI providers based on task type, availability, or optimization requirements.
  • We disclaim all liability arising from your reliance on AI-generated content, including but not limited to errors in property valuations, client preferences, match recommendations, or any other AI output.

Data Ownership and Responsibilities

  • You retain full ownership of all Client Data you input into or generate through the Service. Everseed Ventures claims no ownership rights over Client Data.
  • You grant us a limited, non-exclusive license to process, store, and transmit Client Data solely for the purpose of providing the Service, including transmitting data to third-party AI providers for processing.
  • You are responsible for the accuracy and legality of all data you input into the Service. You represent that you have all necessary rights, consents, and authorizations to input Client Data into the Service.
  • We will not use Client Data for purposes beyond providing and improving the Service. We will not sell Client Data to third parties.

Voice Recordings and Consent

  • The Service allows you to submit voice recordings for AI processing. Voice recordings are transmitted to third-party AI providers for transcription and analysis.
  • You are solely responsible for complying with all applicable laws regarding the recording of conversations, including obtaining any required consent from individuals whose voices are recorded. Laws vary by jurisdiction — many require all-party consent.
  • You acknowledge that voice recordings may contain sensitive information and you assume all risk associated with the content of your recordings.

Intellectual Property

  • hausCRM, the hausCRM logo, and all related branding, designs, and trade dress are the exclusive property of Everseed Ventures. All rights reserved. You may not use our marks without prior written consent.
  • The Service, including its software, algorithms, user interface, documentation, and all improvements, is the proprietary property of Everseed Ventures and is protected by copyright, trade secret, and other intellectual property laws.
  • Any feedback, suggestions, or ideas you provide regarding the Service may be used by us without obligation to you.

Confidentiality

Each party agrees to maintain the confidentiality of the other party's confidential information and not to disclose it to third parties without prior written consent, except as required by law or as necessary to perform obligations under these Terms.

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT AI-GENERATED CONTENT WILL BE ACCURATE.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EVERSEED VENTURES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY EXCEED THE AMOUNTS PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

THE FOREGOING LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Indemnification

You agree to indemnify, defend, and hold harmless Everseed Ventures, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights, including privacy rights; (d) your failure to obtain required consents for voice recordings or data processing; or (e) your reliance on AI-generated content.

Termination

  • Either party may terminate this agreement at any time. You may close your account through your account settings or by contacting us.
  • We may suspend or terminate your access to the Service immediately, without prior notice, if we reasonably believe you have violated these Terms or if required by law.
  • Upon termination, your right to use the Service ceases immediately. We will delete your Client Data within 30 days of termination unless a longer retention period is required by law. You may request data export prior to termination.

Governing Law and Dispute Resolution

  • These Terms are governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of laws provisions.
  • Any dispute arising out of or relating to these Terms or the Service shall first be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration administered under the Arbitration Act (Alberta), conducted in Calgary, Alberta, Canada.
  • Either party may seek injunctive or other equitable relief in any court of competent jurisdiction in the Province of Alberta to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy and any supplemental terms or policies referenced herein, constitute the entire agreement between you and Everseed Ventures regarding the Service and supersede all prior agreements and understandings.

Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by email or through the Service at least 30 days before they take effect. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service.
